A NON-PROFIT ORGANIZATION

ARTICLE ONE
NAME
The name shall be the Indian River Boating Association, Incorporated, a non-profit organization.
ARTICLE TWO
PURPOSE
The Association is dedicated to the promotion and perpetuation of sport fishing in Delaware, supportive of environmental laws and groups promoting ocean ecology and sound boating and sport fishing practices, and organized to promote a spirit of good fellowship and mutual respect and understanding through social and recreational activities for it’s members. The Association also acts as a “voice” for the concerns and interests of its members.
ARTICLE THREE
MEMBERSHIP
Paid members are entitled to voting rights and participation in all activities of the Association, except specifically excluded as noted in Article Four. Members will be accepted in two categories: Private and Charter. Checking the appropriate category on the General Tournament entry form will determine in which category your fish will be counted for that tournament year. This category may not be changed during the season under any condition. Private boats having licensed Captains running their boats full or part time must decide which category they wish to be in when completing the general entry form.
ARTICLE FOUR
ASSOCIATION ACTIVITIES
SECTION I. The social and recreational activities shall exist as long as a suitable number of eligible members continue to participate. It is the responsibility of the Board of Directors to closely monitor the increase/decrease in participation of all Association activities, and to make recommendations accordingly.
SECTION II. Participation in all Association activities shall be regulated by the Board of Directors. Anyone who wishes to form a new activity shall petition the Board regarding the scope of activity.
SECTION III. Participation in the Association activities shall be as follows, in addition to any social functions suggested to and agreed upon by the Board of Directors during the season year.

ARTICLE FIVE
SECTION I. The elected Officers shall be a President, Vice-President, Secretary, Treasurer and seven Board members.
SECTION II. The duties of the President are:
A. Coordinate and communicate with the other Officers to accomplish
most effectively the purposes of the Association.
B. Approve the appointment of the committee chairman of each activity.
C. Approve bills and requests for payment.
D. Act as chairman of the Board of Directors.
E. Prepare the agenda for and call meetings of the Board of Directors.
F. Refer to the Board of Directors such policy, procedural or financial matters as may be necessary to discuss at its meetings.
G. Appoint and serve on the Nominating Committee.
H. Announce newly elected Officers and Board of Directors.
I. Serve on the Board of Directors for two years after having served as President.
J. Appoint a Director of the General Tournament with the Board of Directors approval.
SECTION III. The duties of the Vice-President are:
A. Appoint chairman or co-chairman for the social and recreational activities with the
approval of the President.
B. Establish with each activity chairman or co-chairman an outline of the activities
program for the coming year.
C. Coordinate with, and counsel committee chairmen to assist them in effectively
accomplishing the committees purpose.
D. Pass on to the President such policy, procedural or financial matters that need to be

E. In the absence of the President, officiate over meetings and exert all authority and
the responsibility of the President.
F. Be a member of the Board of Directors.
SECTION IV. The duties of the Secretary are:
A. Act as Secretary of the Board of Directors and keep accurate minutes of the meetings.
B. Attend to the correspondence, membership lists and cards of the Association as requested by the Officers.
C. Maintain the Association’s files.
D. Announce to the Association’s members the nominations for the elections every two years.
SECTION V. The duties of the Treasurer are:
A. Keep appropriate and accurate records of the Association’s Treasury.
B. Receive from committee chairmen and Officers all bills and requests for payment for expenses and check them against the finances.
C. Receive all membership and activities monies.
D. Prepare a quarterly financial statement for submission and review to the Board of Directors and a yearly financial statement with an outside entity.
E. Be a member of the Board of Directors.
ARTICLE SIX
DUTIES OF THE COMMITTEE CHAIRMEN
SECTION I. The duties of the appointed committee chairmen or co-chairmen are:
A. Select committee members after consulting with the Vice-President.
B. Submit to the Vice-President an outline of the activities program for the coming year. The outline shall be of sufficient detail as to define the number of events, dates, participation expected and the project cost expenditure.
C. Direct the committee’s activities to accomplish most effectively the committee’s purpose.
D. Submit requests for payment to the Treasurer.
E. Individual tournament monies should flow through the tournament directors to the Treasurer.
F. Turn over committee’s files to the Vice-President at the conclusion of the activity.
ARTICLE SEVEN
BOARD OF DIRECTORS
SECTION I. There shall be a Board of Directors, the purpose of which shall be to establish the operating policies of the Association, and to serve in an advisory capacity to the President.
SECTION II. The Board of Directors shall consist of the following members: The present Officers of the Association, the most recent past President and seven Board members.
SECTION III. The Board of Directors shall meet on call by the President of two thirds members of the Board for voting.
SECTION IV. If a member of the Board of Directors misses two consecutive meetings without prior notice and valid reason, they shall be removed from the Board.
ARTICLE EIGHT
ELECTION OF OFFICERS
SECTION I. The election of Officers and Board of Directors shall be held in November every two years. Members elected shall serve a term of two years. Officers shall be eligible to succeed themselves, if reelected.
SECTION II. A Nominating Committee consisting of a Chairman plus two men and two women members shall be appointed by the President at least six weeks before the election date.
SECTION III. The Nominating Committee will select two nominees, when possible, for each office, as well as ten names for the Board of Directors.
SECTION IV. Election shall be by secret ballot, with a plurality of votes necessary to elect. The Nominating Committee shall count the votes. The results shall be privately conveyed to the President, who shall make an announcement to the membership. The Nominating Committee shall refrain from divulging any information of its activities to the Association’s members.
SECTION V. An appointee by the Board of Directors shall fill a vacancy in an elective office. The appointees shall serve the remainder of the term and shall be eligible to succeed themselves.
SECTION VI. Voting members shall include spouse.
SECTION VII. Resignation of a Board member or Officer must be submitted thirty days in advance to the President and approved by the Board.
ARTICLE NINE
DUES AND FEES
SECTION I. Annual assessed dues shall be $25.00, which is subject to change by the Board of Directors.
SECTION II. Paid members will be assessed an annual $35.00 if they wish to participate in the General and Junior Tournament, which is subject to change by the Board of Directors.
ARTICLE TEN
PARLIAMENTARY PROCEDURE
SECTION I. Robert’s Rules of Order shall govern the conduct of business at the Association’s meetings.
ARTICLE ELEVEN
AMENDMENTS
SECTION I. These By-Laws may be amended by a two-thirds majority of votes cast by members of the Association eligible to vote, providing ten days notice of the proposed amendment(s) has been given to the members by publication.
